Terms of Service

These Terms of Use (“Terms”) govern your access to and use of the private investor portal (the “Portal”) operated by test (“we,” “us,” or the “Firm”). By accessing or using the Portal, you agree to these Terms and to our Privacy Policy.

Eligibility and access

The Portal is provided by invitation only to prospective and existing investors and other authorized users. Access is personal to you; you may not share your sign-in credentials or passkeys, and you are responsible for activity under your account.

No offer; confidential information

Nothing in the Portal constitutes an offer to sell or a solicitation of an offer to buy any security, or investment, legal, tax, or accounting advice. Any offering is made only to eligible investors through definitive offering documents. Information in the Portal may be preliminary, based on estimates, or subject to change, and you should not rely on it except as confirmed in the definitive fund documents. All fund materials made available through the Portal are confidential, are provided for your evaluation only, and may not be reproduced or distributed. Documents are watermarked with your identity.

Your obligations

Electronic communications and signatures

You consent to receive communications, disclosures, and documents electronically, and you agree that electronic signatures and records satisfy any legal requirement that such communications be in writing. Your electronic signature is legally binding to the same extent as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and similar laws. When you sign electronically, we record evidence of the signing — including the disclosure version you accepted, the authentication method, the date and time, your IP address and approximate location, and cryptographic fingerprints of the document — and we retain the signed document and this evidence in a tamper-evident, append-only record. You agree that the signature records and audit trail maintained by the Firm are the authoritative evidence of your electronic signature and of the contents of the signed document, and you agree not to contest the validity, enforceability, or admissibility of an electronic signature or record solely on the basis that it is in electronic form. You may request a paper copy or withdraw your consent to transact electronically as described at the time of signing; a withdrawal does not affect the validity of a signature you have already given.

Third-party services

The Portal relies on third-party providers for services such as identity verification, communications, bank linking, electronic signature, and hosting. Your use of certain features may also be subject to those providers' terms, and we are not responsible for the acts, omissions, or services of third parties.

Intellectual property

The Portal and its content are owned by the Firm or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to access the Portal for the purposes described above.

Disclaimers and limitation of liability

The Portal is provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, the Firm is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Portal. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.

Termination

We may suspend or terminate your access at any time, including where required by law or our compliance obligations. Provisions that by their nature should survive termination will continue to apply.

Governing law; changes

These Terms are governed by the laws of the jurisdiction in which the Firm is organized, without regard to conflict-of-laws rules. We may update these Terms from time to time; continued use of the Portal constitutes acceptance of the updated Terms.
